&Noire Partner Guidelines
&Noire is an online marketplace that provides a platform for black-owned businesses to list their products and services for purchases. Our goal is to drive exposure and purchases as a means to help our partners grow their businesses.
The conditions for partners selling their products on the &Noire platform includes, but is not limited to:
- You must be 18 years or older or at least the age of majority in the jurisdiction where you reside or from which you use our platform.
- To access and use the Services, you must register for a partner account (“Account”) by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required.
- You acknowledge that &NOIRE will use the email address you provide as the primary method for communication.
- You are responsible for keeping your password secure. &NOIRE cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.
- &Noire reserves the right to determine what products are featured on the website. All product images will be reviewed and approved before posting. Low-resolution or inappropriate images are subject to rejection at our discretion.
- Once a sale is received, it is your responsibility to ship and provide tracking numbers to the order. &Noire recommends shipping within two (2) business days of the date the order was placed. If your product(s) cannot be shipped within two (2) business days of the order date as recommended, it is your responsibility to include estimated shipping times within the product description. Failure to do so may result in us suspending sale of such product(s) until the description is appropriately updated.
- Free shipping is not required, but it is strongly recommended
- Payments will be released 1-3 business days after orders are fulfilled. Must be marked ‘fulfilled’, with tracking information for payment.
- As a partner on our platform, &Noire reserves the right to use your images, name, trademark, service mark and logo for advertising and promotional purposes.
Associated fees for selling on the &Noire platform includes:
- An annual $25 Subscription Fee and 10% of the pre-tax sales amount of any product sold (“Transaction Fee”).
- The Subscription Fee and Transaction Fee are subject to change.
- The annual Subscription Fee is non-fundable and due upon execution of this Agreement. If the outstanding Subscription Fee remains unpaid for 60 days following the date of billing, &Noire reserves the right to suspend or terminate your account until payment is resolved.
- Transaction Fees are non-refundable upon order submission by customers. Refund of these fees will only be provided for customer returns.
- Additional fees are charged as required by applicable law and from time to time including but not limited to collection of required taxes, an annual maintenance fee of $4.95 due upon execution of this Agreement, and other applicable fees.
- All Fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges in effect or enacted in the future (“Taxes”).
- You must keep a valid credit/ debit card on file with us to pay all incurred and recurring Fees. You are responsible for any fees associated with your credit card on file.
- Social Media Marketing, Website Advertisement, and Newsletter features are available for additional fees.
Return and Exchanges
- &Noire maintains a policy to accept customer returns or exchanges made within 21 days of the shipping confirmation email with certain exceptions and specifications. Shipping costs for refunds and exchanges are the customers’ responsibility. You have the option of providing free returns if you so choose.
- To be eligible for a return or exchange, customer returns must be unused, and in the same condition received, and in the original packaging. All returns and exchanges must be accompanied by receipt and/or invoice.
- Only regular priced items may be refunded or exchanged. Sale items cannot be refunded or exchanged. Several types of goods are exempt from being returned. Perishable goods such as food, flowers, newspapers or magazines cannot be returned. We also do not accept products that are intimate or sanitary goods, hazardous materials, or flammable liquids or gases, and customized items. Additional nonreturnable items: sales items, gift cards, downloadable software products, and certain health and personal care items. Any other items not specifically identified herein that are nonrefundable and nonreturnable will be noted within the product’s description on our website. If your return and exchange policy conflicts with the above requirements, contact &Noire before execution of these terms and conditions.
Cancellation and Termination
- As an &Noire Partner, you can cancel your Account at any time by emailing us at firstname.lastname@example.org. Please give us 3-5 business days to complete your request.
- &NOIRE reserves the right at any time, and from time to time, to modify or discontinue, the Service (or any part thereof) with or without notice.
- &NOIRE shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
- You must maintain a credit card on file with &Noire for at least 90 days after your account is terminated to pay any outstanding and applicable fees.
- Fraud: Without limiting any other remedies, &Noire may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the site.
